Team Structure

The role sits within the Commercial, Outsourcing and Technology team within the Corporate Department, which currently comprises of 3 partners and 7 associates. Our team advises on a broad range of commercial agreements, outsourcing (both IT and business process), technology matters and data protection.

Main Responsibilities

  • Working with the Private Equity and Corporate Finance teams and offering support on buyer and seller due diligence exercises on transactions within those teams
  • Performing legal and factual research tasks
  • Assisting with commercial contract reviews and reporting on corporate matters, basic data protection and litigation issues, accreditations, licences and consents, grant funding and insurance matters on both buyer and seller due diligence exercises.
  • Helping to set up and manage data rooms for both buyers and sellers.
  • Preparing correspondence
  • Liaising with specialists, collating reporting and further enquiries and preparing, reviewing and editing due diligence reports and basic notes of advice
  • Assisting with disclosure and warranty and indemnity insurer enquiries

Attributes/Skills Required

  • Candidates must have good academics and have completed the LPC or BPTC (ideally a 2:1 and more than a pass for LPC or competent for the BPTC).
  • Previous paralegal experience – essential
  • An interest in commercial contracts and corporate law
  • Excellent drafting, presentation and communication skills
  • Organised, with good time management skills and the ability to work to deadlines
  • Proactive and resilient
  • Good knowledge of due diligence is advantageous
  • Good knowledge of Excel
  • Good knowledge of document review platforms and data rooms is advantageous
  • Team player
